1. Purpose

These general terms and conditions of sale (hereinafter the “Terms of Sale”) govern the contractual relationship between:

  • DIRIGEO, a French SAS with share capital of €1,000, registered with the Paris Trade and Companies Register under number 104 450 747, whose registered office is at 66 avenue des Champs-Élysées, 75008 Paris, France, EU VAT number FR58 104450747 (hereinafter “Dirigeo”, “we”);
  • and any natural or legal person subscribing to a paid subscription to the Dirigeo platform (hereinafter the “Customer”).

These Terms of Sale apply, to the exclusion of any other conditions, to any subscription to a paid Dirigeo plan (Pro, Business or VIP). They supplement the General Terms of Use, which apply to all Users, including those on the Free plan.

Any subscription to a paid plan implies unreserved acceptance of these Terms of Sale. The Customer acknowledges having read and accepted them before confirming their order.

2. Plans and prices

As of the date hereof, Dirigeo offers the following plans (the detailed features and current price of each plan are shown on the Site at the time of subscription):

Prices are shown in euros and may be subject to VAT at the applicable rate, unless otherwise stated. Dirigeo reserves the right to change its prices at any time; however, price changes do not apply to subscriptions in progress and will only take effect, for an existing Customer, from the next renewal, provided the Customer has been informed in advance within a reasonable time allowing them, where applicable, to cancel their subscription before the new price applies.

3. Subscription to the Services

Subscription to a paid plan is made online, directly from the Platform, after creating an Account and selecting the desired plan. The Customer provides the required billing information and makes payment as described in Article 5.

Confirmation of the order constitutes firm and final acceptance of these Terms of Sale and a commitment to pay the price of the chosen plan.

A subscription confirmation is sent to the Customer by email to the address provided when the Account was created.

4. Term and renewal

Paid subscriptions are taken out, according to the Customer’s choice at the time of ordering, for a monthly or annual term, and are automatically renewed for an identical term unless cancelled by the Customer under the conditions set out in Article 8.

The Customer may change plans at any time (upgrade or downgrade) from their subscription management area; the change takes effect in accordance with the pro rata arrangements indicated on the Platform.

5. Payment terms

Subscriptions are paid exclusively online, by bank card, via the secure payment solution Stripe (Stripe Payments Europe, Limited), a payment service provider independent of Dirigeo. The Customer’s bank card data is processed directly by Stripe and is neither stored by nor accessible to Dirigeo, in accordance with Stripe’s security policy.

Payment is collected automatically on the subscription date, then on each renewal date (monthly or annual depending on the plan chosen), using the payment method registered by the Customer.

If a payment fails, Dirigeo reserves the right to suspend access to paid features until the situation is resolved, after notifying the Customer by email and allowing a reasonable period to settle.

6. Invoicing

An invoice is issued for each payment and made available to the Customer in their personal area on the Platform. The Customer undertakes to provide accurate billing information (company name, address, EU VAT number where applicable).

7. Right of withdrawal (consumer Customers)

In accordance with Articles L.221-18 et seq. of the French Consumer Code, any Customer acting as a consumer (a natural person not acting for professional purposes) has fourteen (14) days from subscription to exercise their right of withdrawal, without having to give reasons or pay penalties, except, where applicable, for the costs corresponding to the service already provided in accordance with Article 8.

To exercise this right, the consumer Customer must notify Dirigeo of their decision before the 14-day period expires, by an unambiguous statement (email to contact@dirigeoo.com, or letter to the registered office address), where applicable using the model withdrawal form below.

Express request for immediate performance and waiver of the right of withdrawal. A consumer Customer who wishes to benefit from the Service as soon as they subscribe, before the withdrawal period has expired, may expressly request this when ordering (dedicated checkbox). In this case, in accordance with Article L.221-28 13° of the French Consumer Code, the Customer acknowledges that their right of withdrawal can no longer be exercised once the Service has been fully performed with their prior express consent and their express waiver of the right of withdrawal. If performance is only partial at the time of withdrawal, the consumer Customer must pay the price corresponding to the service provided up to the time they communicated their decision to withdraw.

Model withdrawal form (to be completed and returned only if you wish to withdraw):

For the attention of DIRIGEO, 66 avenue des Champs-Élysées, 75008 Paris, France — contact@dirigeoo.com I hereby give notice that I withdraw from the contract for the following Dirigeo subscription: [specify the plan] Ordered on: 2026 — Customer name: [name] — Customer address: [address] Customer signature (only if this form is notified on paper) — Date

8. Cancellation

8.1 Cancellation by the Customer

The Customer may cancel their subscription at any time from their subscription management area on the Platform, or by sending a request to contact@dirigeoo.com. Cancellation takes effect at the end of the current subscription period (monthly or annual) already paid for, unless the right of withdrawal is exercised under the conditions of Article 7. Unless otherwise provided by law, sums paid for the current period remain due to Dirigeo and are not refunded on a pro rata basis.

8.2 Termination by Dirigeo

Dirigeo may terminate a Customer’s subscription in the event of a serious or repeated breach of these Terms of Sale or of the Terms of Use, or in the event of non-payment, after formal notice has remained unsuccessful within a reasonable time, without prejudice to any damages Dirigeo may claim.

9. Warranties

Dirigeo guarantees the Customer that the Service complies with the features advertised on the Site. Consumer Customers benefit, where applicable, from the applicable legal warranties (legal warranty of conformity and warranty against hidden defects), under the conditions provided for by the French Consumer Code and Civil Code.

10. Liability

Dirigeo’s liability under these Terms of Sale is set out in Article 7 of the Terms of Use, which applies mutatis mutandis to the contractual relationship governed by these Terms of Sale. In any event, and except in the case of gross negligence or wilful misconduct, Dirigeo’s total liability in respect of a subscription is capped, for professional Customers, at the amount actually paid by the Customer over the twelve (12) months preceding the event giving rise to liability.

11. Complaints and consumer mediation

For any complaint, the Customer may contact Dirigeo’s customer service at contact@dirigeoo.com or by phone on +33 7 45 88 20 04 (Monday to Saturday, 8:00 am to 5:00 pm, Paris time).

In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, any consumer Customer has the right to use a consumer mediator free of charge for the amicable resolution of a dispute that could not be resolved directly with Dirigeo, within one year of their written complaint.

⚠️ To be completed before publication: Dirigeo must appoint its consumer mediator and include their contact details here (name, postal address, website address), after joining a mediation scheme approved by the French Commission for the Evaluation and Control of Consumer Mediation (CECMC) — for example a sector-specific mediator or a general mediation platform. This appointment is mandatory for any business selling to consumers.

The consumer Customer may also use the European online dispute resolution (ODR) platform, available at: https://ec.europa.eu/consumers/odr.

12. Personal data

The processing of Customers’ personal data in the context of the business relationship is described in the Privacy Policy.

13. Force majeure

Dirigeo cannot be held liable for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code and the case law of the French courts.

14. Governing law and disputes

These Terms of Sale are governed by French law.

For professional Customers, any dispute relating to the formation, interpretation or performance of these Terms of Sale falls under the exclusive jurisdiction of the courts of Paris, including in the event of multiple defendants or third-party claims, notwithstanding any clause to the contrary.

For consumer Customers, the ordinary statutory rules of jurisdiction apply, without prejudice to the right to use the mediation provided for in Article 11.
